合伙企业作为一种重要的组织形式，在当前的股权架构搭建中占有重要地位。本文将尽可能用简短与通俗的语言，阐述合伙企业在股权架构搭建中的一些核心要点及如何利用自贸港下合伙企业享受政策的注意事项，以供读者参考。

如何理解合伙企业





在我国，合伙企业分为普通合伙企业（含特殊普通合伙）与有限合伙企业，除特定情况，我们通常选择有限合伙企业进行股权架构搭建（下文中，除特别指定，“合伙企业”仅指有限合伙企业）。

合伙企业的杠杆效应

合伙企业的合伙人分为普通合伙人与有限合伙人，两者权责大相径庭。

普通合伙人权力大，责任大；相对应地，有限合伙人权力小，责任也小。普通合伙人最明显的责任，就是对债务承担无限连带责任。

何谓无限连带责任？这就需要拆解“无限连带”四个字，一为“无限”，二为“连带”。

“无限” 意味着合伙企业自身资产不足以偿还所有债务的情况下，普通合伙人需要针对无法偿还的部分，承担无限责任。即，无论欠多少，都要还，直到普通合伙人无法偿还为止（破产）。

“连带” 意味着如果一个合伙企业有数名普通合伙人，在合伙企业无法偿还债务的情况下，债主可以向任意其中一名或者数名普通合伙人索要全部或者部分赔偿。即，债主可以找甲普通合伙人索要100%欠款，或者甲乙两名普通合伙人各索要50%欠款，只要债主想，找谁要多少，都是他的自由。

权责相等，普通合伙人的权利可不得了，合伙企业基本由普通合伙人说了算（特别是只有一个普通合伙人的情况下），无视持股比例。即，普通合伙人就算占股0.1%，也是整个合伙企业的实控人。举个例子，合伙企业对外投资的决定，合伙企业对外投资后参加股东会会议的投票表决，合伙企业对外签订相关合同等，都可以是普通合伙人说了算。



那么有限合伙人此时的作用是什么呢？

有限合伙人，说白了就是“出钱不出力”的股东。他们出资，享受收益，但不参与管理，也不承担无限责任。他们的风险上限就是他们出资的金额。亏完了，也就结束了，不会波及他们的房子、车子、老婆本。

这样一来，合伙企业就成了一个极好的“权钱分离”工具：普通合伙人出智慧、出管理、出责任；有限合伙人出资金、享收益、睡安稳觉。

合伙企业是税收“透明体”

合伙企业还有一个很有意思的特点：它在税法上不是一个“法人”，而是一个“透明体”。什么意思？就是说它本身不交企业所得税。

一旦合伙企业产生利润，利润就会直接分到合伙人手上，由合伙人自己去交个税（合伙企业负责代扣代缴）。这就避免了“双重征税”——公司层面交一次税，分红给个人再交一次税。合伙企业一步到位，只在个人层面征税。

这样一来，对于那些主要靠人力、智力、资源整合、投资等赚钱的业务，合伙企业就成了一个“税务漏斗”，税负直接穿透，简单高效。

合伙企业股权架构特点





控制权集中，便于决策

正如前面所说，普通合伙人哪怕只占0.1%的份额，也能掌控整个合伙企业。这就特别适合创始人或核心团队想要牢牢掌握公司控制权的场景。

比如，你想融资，但又不想失去对公司的控制。你可以自己当普通合伙人，成立一个合伙企业，让投资人做有限合伙人。你用小资金撬动大资本，还能说了算。



灵活进退，便于激励

合伙企业可以很方便地设置“股权池”或“激励平台”。比如，你要给员工做股权激励，但又不想让他们直接成为公司股东（那样的话，每次有人离职都要去工商局变更，麻烦得很）。

你可以设立一个合伙企业作为持股平台，你当普通合伙人，员工当有限合伙人。员工通过持有合伙企业的份额，间接持有公司股权。谁来签字？谁来投票？你来。员工只享受分红权和增值收益。有人离职？直接在合伙企业内部转让份额或退出即可，公司股东名册动都不动。



资金杠杆，放大收益

你可以用少量的资金（作为普通合伙人出资）撬动大量的外部资金（有限合伙人出资），去投资一个项目。赚了钱，大家按约定比例分。由于你的出资比例低，你的资金回报率会被放大。

比如，你出10万，找来90万，一共100万投一个项目。赚了50万，你按20%的比例分，能拿10万。你的本金翻了1倍，而有限合伙人的收益率是11.1%。这就是杠杆的魅力。

合伙企业具体案例分析





场景： 老王是个技术大牛，想创业做AI教育平台。他有个想法，但缺钱。他找到了两个有钱的朋友老张和老李。

传统做法： 成立有限公司，股权比例：老王出资40%，老张出资30%，老李出资30%。结果，老王虽然股份最多，但没超过50%，重大事项（比如融资、修改章程）需要2/3以上表决权通过。老王很可能被“架空”。（见方案一）



合伙企业玩法：

老王成立一家有限合伙企业“海南智慧合伙企业管理中心（有限合伙）”。

老王作为普通合伙人（GP），出资1万元（占1%）。

老张和老李作为有限合伙人（LP），各出资49.5万元（共99万元，占99%）。

用这个合伙企业去投资持有“海南智慧教育科技有限公司”60%的股权。（见方案二）



结果：

控制权：老王用1%的资金，100%控制整个合伙企业，从而控制下面的教育科技公司。他说投就投，他说卖就卖。

资金：老张老李出了60%的钱，但只享受分红，不参与决策，风险有限。

税务：公司利润分到合伙企业，不交企业所得税，直接分给老王、老张、老李，由他们各自缴纳个人所得税。

这样一来，老王实现了“小权控大钱”，老张老李做了“安静的财务投资者”，皆大欢喜。
